Contract Manager/Construction Industry Attorney

A-C Electric Company is growing rapidly and has an immediate need for a Contract Manager/Construction Industry Attorney in Bakersfield, CA.

The Contract Manager (Construction Industry Attorney) will execute the primary responsibilities of review, advisement to firm of risks, and negotiate terms and conditions for all Owner Contracts and A-C Electric Company Subcontracts in accordance with A-C Electric Company policies, procedures, requirements and legal guidelines. Additional responsibilities are outlined below.

Key Responsibilities

  • Contract drafting, evaluation, negotiation and execution including but not limited to formal, shortform, and annual contracts, non disclosure agreements, sales/purchasing agreements, sub-contracts, consulting agreements, licensing agreements, master agreements, and review of customer proposed terms and conditions.
  • Serve as the point of contact for customers on contractual matters. Act as contractual liaison between company employees and customers, ensuring timely review and approval / reconciliation of variations.
  • On all standard and nonstandard contracts, provide redlined recommendations and often negotiate directly with customer attorneys or purchasing staff until consensus has been reached.
  • Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects. Ensure proper contract terms and conditions, insurance requirements, contract language modifications and required approvals and signatures are obtained for all contracts and subcontracts. Utilize legal and/or insurance consultants as necessary to ensure accuracy.
  • As needed, provide guidance on contract matters to project managers or other operational staff, including training to new project managers and other employees in contracting practices and procedures.
  • Develop and implement procedures for contract management and administration in compliance with company policy. As appropriate, contribute to or influence company policies.
  • Coordinate contractual insurance requirements. Generate and review all subcontract agreements in coordination with Operations. Coordinate the proper and timely processing of contract and subcontract documents.
  • Obtain project bonds (bid, maintenance, performance and/or payment) based on customer contract requirements.
  • Monitor competitive terms as well as customer satisfaction with our terms and conditions and contracting practices and recommend changes.
  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
  • Ensure contract close-out, extension or renewal.
  • Provide general legal advice to firm, assess risks and manage any legal action or suit(s).

Requirements

  • Juris doctorate.
  • No less than five years contracts experience in the construction industry, preferably in the state of California.
  • No less than three years relevant industry experience working with clients in the construction industry providing either litigation (but not construction defect experience) or transactional legal services or both.
  • Candidate should possess knowledge of various aspects of construction on both public and private projects and have an understanding of the issues relevant to a broad variety of industry professionals including: owners, general contractors, subcontractors, material suppliers, architects and engineers.
  • In addition, candidate must have excellent academic credentials, strong research, writing, and analytical skills, and a commitment to team work.
