Description

The Paralegal (Contracts & Compliance) supports A-C Electric Company’s contract review and administration processes by reviewing client contracts, identifying and escalating contractual risk, coordinating document control workflows, and partnering with internal stakeholders to support compliant and efficient project execution. This role serves as a key business partner to Operations, Project Management, Contracts, and leadership by helping ensure contract documents align with company objectives, California contractor law requirements, and internal standards.

Reporting to the Chief Operating Officer, this role is responsible for managing a high volume of contract-related documentation and helping lead the day-to-day administration of document control activities through a supporting team. The ideal candidate brings strong construction-contract experience, sound judgment, exceptional organization, and a working knowledge of California contractor laws and contract risk in a project-based environment.

 

Key Responsibilities

  • Review high volume of client contracts and other legal or commercial documents to identify key terms, obligations, and areas of risk.
  • Support the negotiation and revision process by preparing redlines, contract summaries, issue logs, and review comments for leadership and business stakeholders.
  • Analyze contract language related to indemnity, insurance, payment terms, schedule obligations, dispute resolution, change orders, lien rights, bonds, and compliance requirements.
  • Escalate legal, financial, and operational risks to the COO and other internal stakeholders with clear recommendations and practical business considerations.
  • Help ensure contracts and related documentation comply with applicable California contractor laws, public works requirements, and internal policies and procedures.
  • Lead and coordinate document control workflows through the assigned support team to ensure timely routing, tracking, filing, version control, and retention of contract records.
  • Maintain accurate and up-to-date records of contract documents, status reports, key dates, compliance requirements, and approval workflows.
  • Serve as a point of contact for contract-related inquiries from project managers, operations leaders, and other internal partners.
  • Partner cross-functionally with Operations, Finance, Safety, Project Management, and outside counsel as needed to support contract execution and risk mitigation.
  • Assist with development and continuous improvement of standard templates, playbooks, clause libraries, routing procedures, and document control practices.
  • Monitor deadlines and contractual notice requirements to support timely performance and reduce avoidable risk.
  • Prepare reports, summaries, and dashboards for leadership related to contract volume, status, bottlenecks, and recurring risk themes.
  • Maintain confidentiality and exercise sound judgment in handling sensitive legal and business matters.

Required Qualifications

  • Associate’s or Bachelor’s degree in Paralegal Studies, Business, Legal Studies, Construction Management, or a related field; equivalent relevant experience may be considered.
  • Paralegal certificate preferred if degree is in an unrelated field.
  • Minimum of 5 years of relevant experience in contract review, legal support, contract administration, or paralegal work, preferably in construction, subcontracting, engineering, or a project-based industry.
  • Strong experience reviewing and summarizing commercial contracts and identifying contract risk.
  • Working knowledge of California contractor laws, including issues commonly affecting contract enforceability, payment provisions, lien rights, public works, and construction risk allocation.
  • Experience supporting or overseeing document control, records management, or contract administration workflows.
  • Strong written communication skills, including the ability to prepare professional correspondence, contract comments, summaries, and redlines.
  • High level of organization, follow-through, and discretion.
  • Proficiency in Microsoft Office Suite and document management or contract management systems.

Preferred Qualifications

  • Experience in electrical construction or the broader construction industry.
  • Experience supporting review of owner contracts, prime contracts, subcontracts, and public works documentation.
  • Familiarity with insurance provisions, bonds, certified payroll requirements, DIR/public works compliance, and change order documentation.
  • Experience leading or coordinating the work of administrative or document control staff.
  • Strong working relationship skills with project teams and operational leaders.

Pay Range: $75,000 - $115,000.  Pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience.  The total compensation package for this position may also include other elements dependent on the position offered.
